05 / Documents & diligence

Review the full investment story.

Before you commit

  • The supplied overview states the 10% preference and 80% Managers / 20% Members residual split. Confirm these against the current PPM and any amendments before subscribing.
  • Sponsor track record is not Fund I performance. Payouts include debt repayments and equity distributions; held-asset equity is not realized cash profit.
  • Investments are illiquid and may lose all invested capital. Manager-authorized leverage and Fund Notes remain permitted.

06 / Questions to consider

Clarity before commitment.

Are the IRR and equity multiple the same measurement?

No. IRR depends on the timing of contributions and distributions. The equity multiple compares total proceeds with invested capital. The deck presents both as targets; one should not be derived from the other without a full cash-flow schedule.

Does the 10% preference guarantee payment?

No. A distribution preference defines priority under the governing documents; payments depend on available cash and applicable terms.

Can I choose a Secured Note instead?

The overview includes Notes as a separate participation format. Request the applicable Note Schedule for its rate, term, collateral and repayment provisions.
